Die Finanzaufsicht BaFin hat am 15. Juli 2024 vier Veröffentlichungen für The Social Chain AG vorgenommen. The Social Chain AG hatte unterlassen, vier Stimmrechtsmitteilungen von Dominik Pyka zu veröffentlichen.
Die BaFin hat damit die Veröffentlichungspflicht von The Social Chain AG erfüllt (Selbstvornahme).
Zum Hintergrund:
Inhaberinnen und Inhaber von Stimmrechten sind in bestimmten Fällen verpflichtet, die Höhe ihrer Stimmrechtsanteile der BaFin und dem Emittenten mitzuteilen. Der Emittent ist sodann verpflichtet, die erhaltenen Stimmrechtsmitteilungen seiner Aktionäre zu veröffentlichen. So verlangt es das Wertpapierhandelsgesetz (§ 40 Absatz 1 Satz 1 WpHG).
Die BaFin kann eine nach dem WpHG vorgeschriebene Veröffentlichung oder Mitteilung selbst vornehmen, wenn der Emittent die Veröffentlichungspflicht nicht, nicht richtig, nicht vollständig oder nicht in der vorgeschriebenen Weise erfüllt.
The Social Chain AG hätte zum 3. Mai 2024 die Stimmrechtsmitteilungen von Dominik Pyka vom 30. April 2024 in Höhe von 3,28 Prozent, 5,39 Prozent, 10,92 Prozent und 15,27 Prozent veröffentlichen müssen. Das ist nicht geschehen. Daher hat die BaFin die Veröffentlichungen im Wege der Selbstvornahme vorgenommen.

Die BaFin hat am 15. Juli 2024 im Wege der Selbstvornahme gemäß § 6 Absatz 14 Wertpapierhandelsgesetz (WpHG) für The Social Chain AG vier Veröffentlichungen bzgl. Stimmrechtsmitteilungen von Dominik Pyka zur Erfüllung dessen Veröffentlichungspflicht nach § 40 Absatz 1 Satz 1 WpHG vorgenommen.
